General Terms and Conditions (GTC)

1. Scope of application


a.) The products offered in the online catalogue are intended exclusively for companies and not for individual consumers. All offers, price and cost proposals and deliveries made by the Vontobel Fine Art Publishing House Ltd. (hereinafter: «Vontobel Fine Art Publishing House») are subject to these general terms and conditions for business, payment and delivery.


b.) By placing an order, the customer (hereinafter: the «customer») agrees to these terms and conditions. Vontobel Fine Art Publishing House does not accept any other conditions or counter-conditions. This also applies even where Vontobel Fine Art Publishing House does not expressly object to them.


2. Definitions


a.) «Vontobel Fine Art Publishing House»: Vontobel Fine Art Publishing House Ltd., General Wille-Strasse 201, CH-8706 Feldmeilen/Switzerland, Commercial Register: UID CHE-103.517.777.


b.) «Customer»: Any natural or legal person or a business partnership having legal capacity and which at the time of concluding the contract is acting in the exercise of his or her commercial or self-employed professional activity. Vontobel Fine Art Publishing House reserves the right, in cases of doubt, to have the entrepreneurial status of a customer verified.


c.) «Product»: All articles published by the Vontobel Fine Art Publishing House, in particular cards and envelopes as listed on www.vontobel-art.com (and any alias pages).


3. Copyrights


Copyrights and image reprint rights to all goods (images, films and texts) published in our online catalogue are expressly reserved.

Any use beyond this, including reproduction and public communication of the images, films and texts, is strictly prohibited without our express consent.


No copyrights are acquired as a result of ordering, sending goods, viewing, downloading or copying pages. The (complete or partial) reproduction, transmission (electronically or by other means), modification, linking or any other use of the shop for public or commercial purposes, is prohibited without the prior written consent of Vontobel Fine Art Publishing House.


4. Registration


a.) In order to be able to use the online catalogue of the Vontobel Fine Art Publishing House, prior registration as a customer is necessary. Registration is only permitted if the customer is of legal age, has full legal capacity and is a trader. In the case of a legal company, registration must be carried out by a natural person authorised to represent the company. Proof can be obtained from the commercial register or can also be provided by means of a power of attorney.


b.) Registration can be carried out at www.vontobel-art.com in the «Register to Order» section. Once the details have been successfully checked, Vontobel Fine Art Publishing House will send the customer the individual login details by e-mail. From this point on, the customer is able to place orders. If you need to make an order quickly, please call us, as we will always find a solution.


c.) The customer must ensure that their password is not disclosed to third parties, and they are responsible for all actions that are carried out with their login details. If the customer becomes aware of any misuse of their login details, they must immediately notify Vontobel Fine Art Publishing House and change their password. The Vontobel Fine Art Publishing House reserves the right, in the event of justified suspicion of misuse or material breaches of contract, to block the customer's access to any further offers and/or, in the event of particularly serious contractual breaches, to terminate the contractual relationship with immediate effect.


5. Services, prices


a.) The display of the products in the online catalogue does not constitute a legally binding offer.


b.) It is not possible to go below the minimum order quantity of a single item and the corresponding minimum order quantity is displayed. The agreed minimum order amount applies.


c.) The total price of the products, including all associated price components, as well as information about payment options and related matters, can be found in the details provided as part of the item description. All prices are net prices and, unless otherwise agreed, are exclusive of VAT, packaging, shipping and, where applicable, customs clearance costs. For deliveries abroad, taxes will be adjusted accordingly.


6. Conclusion of the contract


a.) After prior registration (see point 4), the customer can order Vontobel Fine Art Publishing House products from the online catalogue by using the shopping basket system and by clicking on the «Send order” button (or the equivalent) to place a legally binding purchase offer. In a case where agreement to the general terms and conditions is stored and required, the order can only be transmitted if the customer ticks the box «I have read and accept the general terms and conditions (GTC) and the data protection declaration» (or equivalent). The customer also has the option of ordering products in writing (e-mail, fax) or by telephone.


b.) Where an order is placed via the online order shop, the customer shall receive an automatic confirmation of receipt of the order by e-mail.


c.) If a selected product is no longer or temporarily unavailable at the time of the customer placing an order, Vontobel Fine Art Publishing House shall inform the customer of this in writing as part of the delivery note. In such a case, no contract shall be deemed to have been concluded in respect of the unavailable product and it shall not be listed on the invoice.


d.) The invoice and delivery note will be sent together with the selected products.


7. Delivery, shipping


a.) Unless otherwise agreed, delivery shall be made on account. Vontobel Fine Art Publishing House reserves the right to only deliver items against prepayment or by cash on delivery, and will inform the customer of this, for example, when confirming the order.


b.) If the shipping deadlines stated on the website are not met, namely, within two working days of receipt of the order, we will inform the customer. The customer shall grant Vontobel Fine Art Publishing House a reasonable additional period of time for delivery. Any agreements which deviate from this, e.g. regarding a later dispatch to the customer, will be taken into account by Vontobel Fine Art Publishing House in consultation with the customer.


c.) In the exceptional event of a delay in delivery of more than two weeks, the customer Vontobel Fine Art Publishing House shall also be entitled to withdraw from the contract. In this event, Vontobel Fine Art Publishing House shall immediately refund any payments already made by the customer.


d.) Unless otherwise agreed, Vontobel Fine Art Publishing House shall choose the cheapest method of dispatch and shall send the products by post, parcel service or forwarding agent. The costs can be communicated to the customer upon request.


e.) Vontobel Fine Art Publishing House will not pay any compensation for items lost after dispatch or damaged in transit. Complaints must be submitted by the customer to the respective carrier within the given time limits.


f.) In the event of force majeure or any other circumstances for which Vontobel Fine Art Publishing House is not responsible, any claim for compensation for non-delivery or late delivery shall be expressly rejected. Force majeure shall include, but is not limited to, the total or partial shutdown of delivery plants, mobilisation, pandemic, epidemic, war, strike, the entry into force of import and export bans, as well as quota restrictions.


8. Payment


a.) Unless otherwise agreed, the invoice amount is payable without deduction within 30 days of the invoice date.


b.) Payments shall be made to one of the bank accounts belonging to the Vontobel Fine Art Publishing House as indicated on the invoice, and the customer shall be liable for all bank charges in this regard.


9. Late payment


a.) In the event of a delay in payment, the entire amount owed to the Vontobel Fine Art Publishing House shall be deemed to be due immediately.


b.) The Vontobel Fine Art Publishing House may charge default interest on the total claim from the date of default, plus the statutory value added tax applicable in each case.


c.) In the case of a defaulting customer, Vontobel Fine Art Publishing House reserves the right to itself as to whether to continue to supply the customer or not, until payment has been made in full.


10. Retention of ownership


The products shall remain the property of Vontobel Fine Art Publishing House until full payment of all outstanding primary and secondary claims arising from previous and future deliveries.


11. Warranties and returns


a.) The contents of a consignment shall be deemed to correspond to the invoice and to be free of any recognisable defects for which the Vontobel Fine Art Publishing House is to be held responsible, where the customer fails to notify the Vontobel Fine Art Publishing House regarding such, within 5 days of receipt of the consignment. In the event of complaints, the customer number, invoice number and date, as well as the nature of the defect, should be stated for ease of processing. In the event of a breach of the duty to examine and report any defects, the right to assert any warranty claims remains excluded.


b.) The Vontobel Fine Art Publishing House shall, at its own discretion, provide a subsequent remedy or replacement delivery (subsequent performance). If the subsequent performance fails, then the customer may either demand a reduction in price or withdraw from the contract.


c.) Returns must be approved in writing by the Vontobel Fine Art Publishing House and must be made with carriage costs paid and with reference to the relevant purchase data. Unpaid deliveries will not be accepted. The Vontobel Fine Art Publishing House reserves the right to charge a handling fee.


12. Liability disclaimer


The liability of the Vontobel Fine Art Publishing House and its delivery is limited to wilful misconduct and gross negligence, as well as to direct damage, excluding loss of sales or loss of profit and consequential damages.


13. Data protection


The customer agrees that their personal data which is received by the Vontobel Fine Art Publishing House within the scope of the business relationship, may be stored and processed. The data will be treated in strict confidence and in accordance with the provisions of data protection law. The Vontobel Fine Art Publishing House will not pass on the customer's personal details to third parties and will not use them for the purpose of sending advertisements, unless the customer has expressly consented to this type of use in advance. 14. Final provisions


a.) Where the GTC are available in several languages, then in any case of doubt the German-language version is the one that is held to be relevant for the purpose of construing the interpretation and meaning of the GTC.


b.) Amendments and supplements to these terms and conditions will be published in the same place and must be consulted before each order is placed. The current version of these terms and conditions shall apply to each order. Individual adjustments are to be agreed in writing.


c.) The contract shall remain binding in its remaining parts even if individual points are legally null and void. The legally invalid points, if any are held to exist, shall be replaced by the statutory provisions. However, where this would represent an unreasonable hardship for one of the contracting parties, then the contract as a whole shall be held to be void.


15. Applicable law, place of jurisdiction, place of performance


Swiss law shall apply. The place of jurisdiction and performance is Feldmeilen/Zurich.
